This Website Design Services Agreement explains the terms under which I provide website design, development, and related digital services. When you hire me, request a quotation, initiate a project, or make any payment toward a project, you acknowledge that you have read, understood, and accepted the terms outlined in this Agreement. These terms ensure a transparent and professional working relationship while safeguarding both parties during the development process.
By working with me, you agree that all communication, approvals, and instructions will be provided in a timely manner, and that any delays caused by your unresponsiveness, missing inputs, or unclear feedback may impact the project timeline.
I may update or refine portions of this Agreement when necessary. If any update is made, the revised version will be posted with a new “Last Revised” date. Your continued engagement with my services after such updates means you accept the revised terms.
Scope of Work and Project Understanding
Every project begins with a mutual understanding of the services to be provided. I will deliver work based strictly on the agreed scope, which includes design, development, features, layout, content structure, and any additional functionalities discussed at the start of the project. Any changes requested after the initial scope is agreed upon may require additional charges and extended timelines. These changes might include new features, structural modifications, redesigns, platform migration, plugin purchases, third-party integrations, or any functionality not clearly included in the initial discussion.
I will always communicate clearly if a requested change impacts pricing or delivery time. You may choose whether to proceed with such additions as paid enhancements.
Responsibilities and Collaboration
To ensure smooth progress, you agree to provide all necessary materials—such as text content, images, branding files, logos, videos, or access credentials—as early as possible. You also agree to provide feedback promptly to avoid unnecessary delays.
You confirm that all materials you provide:
- belong to you or you have permission to use them
- do not violate intellectual property laws
- are not restricted, copyrighted, or confidential without proper authorization
If required materials are delayed, paused, or missing, the project timeline may extend accordingly, and I cannot be held responsible for the resulting delays.
Communication and Approvals
Throughout the project, I may request approvals for designs, layouts, sections, or completed milestones. Once an item is approved, any major changes later will be treated as new requests outside the original scope. You agree that approvals—whether written or verbal—confirm your satisfaction with that phase of the project.
If a long period passes without feedback after deliverables have been shared, the work may be considered accepted for the purpose of moving forward and closing stages of the project.
Payment Terms
Payments must be made according to the schedule mutually agreed upon at the beginning of the project. Work will only begin after the initial payment or advance amount is received. If payment deadlines are missed or delayed, work may be paused until payments resume. Any cost related to external tools, plugins, paid themes, extensions, hosting, or domains will be borne by you.
Invoices, once issued, are expected to be cleared promptly unless a different timeline is mutually agreed.
Refund Policy
My goal is to provide consistent quality and professionalism. However, certain situations may justify a partial or full refund. The detailed refund policy below applies to all website design and development projects.
Refunds may be considered under the following conditions:
- You decide to cancel the project before I begin any work.
- A major technical issue occurs during development that cannot be reasonably resolved.
- The final output does not match the originally agreed-upon specifications, and this deviation cannot be corrected even after revisions.
To request a refund, you must send a written explanation to contact@aakashpradhan.com. I will evaluate your request, review the project status, confirm eligibility, and notify you of the decision. Approved refunds will be processed within seven business days.
Non-Refundable Charges
Certain costs cannot be refunded under any circumstances, including:
- domain names
- hosting purchases
- premium plugin or theme licenses
- external service purchases
- any work that has already been completed and approved by you
These expenses are non-recoverable and are paid to third-party service providers, not to me.
Refund Deduction Slabs
Refunds are calculated based on how much of the project is completed at the time you request cancellation:
- A 75% refund may be given if the project is only in the early design stage and basic work has begun.
- A 50% refund may apply if substantial work has been completed but the project is not yet halfway done.
- A 25% refund may apply if the project is more than halfway finished but not yet delivered.
- No refund will be issued if the project is completed, delivered, or if major components have already been handed over.
- If the refundable amount becomes less than the domain and hosting charges, no refund will be issued at all.
These slabs ensure fairness for both parties and reflect the effort and resources allocated at each stage.
Project Cancellation
You may cancel a project at any time by sending written notice. Upon cancellation, the refund—if eligible—will be applied based on how much work is completed. I may cancel a project if you repeatedly violate the terms of the Agreement, fail to provide essential materials, or do not make scheduled payments. If your project is terminated due to such reasons, no refund will be provided.
Delivery and Final Handover
Once the project is complete and the final payment is received, files, website credentials, and all deliverables will be handed over. You agree to review and test the website within a reasonable time after delivery. If no concerns are raised within the agreed review period, the project will be considered accepted and finalized.
After project completion, any new changes, fixes unrelated to initial requirements, or additional tasks will be treated as new paid work.
Ownership and Intellectual Property
You will receive full ownership of the final design, website files, and development work after all payments are completed. I retain the right to display the completed work in my portfolio, website, social media, or other professional platforms to showcase my work and experience.
You may not resell, reproduce, or redistribute my work in any form without written permission if the intent is commercial resale.
Code, tools, or assets belonging to third-party providers remain subject to their respective licenses and restrictions.
Confidentiality
All information shared during the project, including business details, strategies, credentials, and private materials, will remain confidential. This protection does not apply to information that is already public or becomes public through no action of mine.
Limitations of Liability
My services are provided with care and commitment; however, I cannot guarantee outcomes beyond the scope of design and development. I am not responsible for losses arising from downtime, hosting issues, third-party services, plugin vulnerabilities, hacking incidents, or factors outside my control.
My total liability will not exceed the amount you paid for the project.
Dispute Handling
If any disagreement occurs, both parties agree to attempt resolution through calm and direct communication. If mutual understanding cannot be reached, mediation or arbitration may be used. All disputes fall under the jurisdiction of the courts in the Union Territory of Jammu & Kashmir.
Service Availability and International Use
I make no promise that the services or deliverables are suitable for use outside India. If you are located in another country, it is your responsibility to comply with local laws and requirements.
Assignment of Agreement
You may not transfer or assign your rights under this Agreement to someone else. I may assign or delegate my responsibilities if necessary for operational or business reasons.
